8. Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of North Dakota. You agree that any action, including mediation and/or arbitration, must be brought in Grand Forks County, North Dakota.

9. Refund and Cancellation Policy

Innovative Media Solutions LLC adheres to a stringent refund policy. Clients may request a full refund within fourteen (14) days of the commencement of the services, provided that such request is submitted in writing via electronic mail to the owner of Innovative Media Solutions LLC at least seven (7) days prior to the

desired termination date. Refunds will be processed and returned via the original method of payment.

10. Proprietary Rights and Content Usage

Upon termination or conclusion of services, all proprietary rights, including intellectual property rights, in any content or materials provided by Innovative Media Solutions LLC shall revert to Innovative Media Solutions LLC. Clients agree to promptly return all such content or materials and to expunge all copies of such content from their systems. Any unauthorized retention or use of such content following termination or conclusion of services shall be deemed a violation of these Terms of Service and may result in legal recourse.

11. Dispute Resolution

Any disputes arising out of or in connection with these Terms of Service, including any questions regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with the Arbitration Rules of the American Arbitration Association. The seat, or legal place, of arbitration shall be Grand Forks County, North Dakota.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Innovative Media Solutions LLC, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any direct, indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, that result from the use of, or inability to use, this service.

13. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms of Service unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.

14. Right of Refusal

Innovative Media Solutions LLC reserves the right to refuse service to any client for any reason at any time, including but not limited to, a client's disruptive behavior, failure to comply with these Terms of Service, or actions that, in the sole discretion of Innovative Media Solutions LLC, are detrimental to the company's interests or the interests of its clients.

15. Entire Agreement

These Terms of Service, together with any other legal notices and agreements published by Innovative Media Solutions LLC on the website, shall constitute the entire agreement between you and Innovative Media Solutions LLC concerning the website and governs your use of the website and service, superseding any prior agreements between you and Innovative Media Solutions LLC.
